These Terms & Conditions ("Terms") govern your access to and use of the AutoScout website, platform, and related services (collectively, the "Services") provided by AutoScout ("AutoScout," "we," "us," or "our").

By creating an account, booking a demo, or using the Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of a dealership or organization, you represent that you have authority to bind that entity.

AutoScout provides software tools for automotive inventory discovery, market analysis, dealer engagement, and acquisition workflow management. Features may include AI-driven filtering, valuation data, messaging automation, SMS and MMS text messaging, and integrations with third-party systems.

We may modify, suspend, or discontinue any part of the Services at any time. We will use reasonable efforts to provide notice of material changes where practicable.

You must provide accurate, complete registration information and keep it current. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately of any unauthorized access at support@autoscout.com.

We reserve the right to refuse registration, suspend accounts, or terminate access for violations of these Terms or applicable law.

You agree not to:

• Use the Services for unlawful, fraudulent, or harmful purposes;
• Scrape, reverse engineer, or attempt to extract source code or underlying models except as permitted by law;
• Interfere with platform security, availability, or performance;
• Upload malware, spam, or content that infringes intellectual property or privacy rights;
• Misrepresent vehicle data, pricing, or listing information in bad faith;
• Resell or sublicense the Services without our prior written consent.

AutoScout may send SMS and MMS text messages as part of the Services. By providing your mobile phone number and opting in, you agree to the following:

Program Name: AutoScout Alerts

Types of Messages: AutoScout sends text messages related to inventory alerts, dealer engagement notifications, acquisition workflow updates, account notifications, and other service-related communications.

Consent & Opt-In: You consent to receive recurring automated text messages from AutoScout when you provide your mobile number and opt in through our website, during account registration, or within the platform. Consent is not required as a condition of purchasing or using any AutoScout product or service. You understand that opting in constitutes your express written consent under applicable law, including the Telephone Consumer Protection Act (TCPA).

Message Frequency: Message frequency varies based on your account activity and notification preferences.

Message & Data Rates: Message and data rates may apply. Contact your mobile carrier for details about your plan.

Opt-Out: You may opt out of receiving text messages at any time by replying STOP to any message. After we receive your opt-out request, we will send you a single confirmation message. No further text messages will be sent unless you opt in again.

Help: For assistance with our text messaging program, reply HELP to any message or email support@autoscout.com.

Carriers: Carriers are not liable for delayed or undelivered messages.

Privacy: Your mobile phone number and opt-in data will not be shared with or sold to third parties or affiliates for their marketing or promotional purposes. For full details on how we handle your data, see our Privacy Policy.

You retain ownership of data you submit to the Services. You grant AutoScout a non-exclusive, worldwide license to use, store, process, and display your data solely to provide and improve the Services, as described in our Privacy Policy.

You represent that you have all rights necessary to submit data and that its use through the Services does not violate third-party rights or applicable regulations.

The Services, including software, design, logos, documentation, and AI models, are owned by AutoScout or its licensors and protected by intellectual property laws. These Terms do not grant you any ownership rights—only a limited, revocable license to use the Services as permitted here.

The Services may integrate with or display data from third parties (e.g., valuation providers, marketplaces, DMS systems). We do not control third-party content and are not responsible for its accuracy, availability, or terms. Your use of third-party services is subject to their respective agreements.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AutoScout does not guarantee that inventory listings, valuations, profit projections, or AI recommendations are accurate, complete, or suitable for any transaction. You are solely responsible for verifying vehicle condition, pricing, and legal compliance before purchase.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOSCOUT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify and hold harmless AutoScout from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your data, your violation of these Terms, or your violation of any third-party rights.

You may stop using the Services at any time. We may suspend or terminate your access for breach of these Terms, non-payment (if applicable), or legal requirements. Upon termination, your right to use the Services ends immediately. Provisions that by nature should survive will remain in effect.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

We may update these Terms from time to time. The "Last updated" date indicates the latest version. Continued use after changes constitutes acceptance. If you do not agree to revised Terms, you must discontinue use of the Services.
